1. Acceptance of Terms

These Terms and Conditions (“Terms”) govern your access to and use of ModelCoach.ai, including the website, browser extension, web application, future mobile applications, APIs, educational content, certifications, dashboards, analytics, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

ModelCoach.ai is owned and operated by Buddy Dealz LLC, 4435 E Chandler Blvd, Suite 200, Phoenix, Arizona 85048, United States.

2. Eligibility

You must be legally capable of entering into a binding agreement and must use the Services in compliance with applicable laws and regulations.

3. Accounts

You are responsible for maintaining accurate account information, protecting your account credentials, and all activity occurring under your account. You must notify us promptly if you become aware of unauthorized access to or use of your account.

4. Plans, Credits, Purchases, and Billing

ModelCoach.ai may offer free and paid plans, recurring subscriptions, one-time purchases, usage credits, and other paid features. Applicable pricing and purchase terms will be presented before you complete a transaction.

The current ModelCoach.ai Pro offering is a monthly recurring subscription priced at US$9.99 per month. Unless canceled, Pro automatically renews for successive monthly billing periods and the applicable subscription fee is charged to the payment method associated with the subscription. Prices and plan features may change prospectively, with notice where required by applicable law; changes do not retroactively alter an already-paid billing period.

You may cancel Pro at any time. Unless otherwise disclosed at checkout or required by applicable law, cancellation takes effect at the end of the current paid billing period. You retain Pro access through the remainder of that paid period while the subscription remains active, and the subscription will not renew for another billing period after cancellation takes effect.

Subscription charges are non-refundable once charged, including for partially used billing periods, except where a refund is required by applicable law or expressly provided by ModelCoach.ai. Cancellation does not automatically generate a prorated or retroactive refund. Nothing in these Terms limits consumer refund rights that cannot legally be waived.

Payments and subscriptions may be processed by third-party payment processors, including Stripe. By making a purchase or starting a subscription, you agree to provide accurate payment information and authorize the applicable charges. Your use of third-party payment services may also be subject to the payment processor’s applicable terms and policies. ModelCoach.ai does not need to receive or store complete payment-card numbers when those details are handled by the payment processor.

If a subscription payment fails, is declined, reversed, disputed, charged back, fraudulent, or otherwise invalidated, we may suspend, restrict, downgrade, or terminate access to paid features as appropriate. A subscription that is no longer in an eligible active billing state may return to the Free plan.

Certain features of the Services may consume credits. The number of credits required for a feature may vary depending on the feature or action being performed. Free accounts may receive a one-time starting credit allocation as displayed in the Services; starting credits do not automatically reset or replenish each month.

Users may have the option to purchase additional credits through one-time purchases. Purchased credits are added to the account used to make the purchase and may be used only for eligible ModelCoach.ai features.

Credits are usage units within the Services. Credits are not money, stored monetary value, cryptocurrency, or a financial instrument; have no cash value; cannot be redeemed for cash; and, unless expressly permitted by us, may not be transferred, resold, exchanged, or moved between accounts.

Purchased credits do not expire while the applicable ModelCoach.ai account remains active, unless otherwise disclosed before purchase or required by law.

Purchasing credits does not change your subscription or plan level and does not provide access to features otherwise limited to a different plan. A one-time credit purchase does not subscribe you to Pro. Subscribing to Pro does not erase, convert, or inherently reset credits already associated with your account.

While an eligible Pro subscription remains active, included Pro usage may not consume the normal credits otherwise required from users on credit-gated plans. Pro is a subscription entitlement, not a grant of an unlimited or monthly-replenishing credit balance. If Pro ends and your account returns to a credit-gated plan, eligible remaining credits associated with your active account may again be used under the then-current credit rules.

All purchases of credits are final and non-refundable, except where a refund is required by applicable law. Unused or partially used credits are not eligible for refunds, credits cannot be redeemed for cash, and cancellation or termination of an account does not entitle a user to a refund for remaining credits. Nothing in these Terms limits any refund or consumer rights that cannot legally be waived under applicable law.

If a credit purchase payment is reversed, disputed, charged back, fraudulent, or otherwise invalidated, we may deduct credits associated with that transaction, suspend access to purchased credits, or take other reasonable action to protect the Services and our users.

Paid plans and included usage remain subject to reasonable technical limits, rate limits, security controls, abuse prevention, availability, and these Terms. Where the Services describe eligible Pro learning, practice, or other included use as “unlimited,” that description means normal individual use without ordinary credit deductions and does not guarantee unlimited infrastructure capacity or exempt use from reasonable safeguards.

We may change plan features, subscription pricing, included functionality, credit requirements, or usage limits prospectively. We will provide notice of material changes where required by applicable law.

5. Browser Extension, AI Coaching, and Services

ModelCoach.ai provides AI-powered educational software, prompt coaching, scoring, learning paths, certifications, analytics, dashboards, and related features.

The Services may interact with or assist your use of third-party artificial intelligence platforms and services. You remain responsible for reviewing and validating AI-generated suggestions, outputs, scores, recommendations, and other information before relying on them.

Availability and functionality of features that interact with third-party platforms may depend on those platforms and may change if a third-party service modifies or restricts its functionality.

6. Acceptable Use

You may not use the Services to violate applicable laws; distribute malware or malicious code; interfere with, disrupt, or compromise the Services; gain unauthorized access to systems or accounts; or infringe the intellectual property or other rights of others.

You may not, except where prohibited from restriction by applicable law, reverse engineer, scrape, systematically extract, reproduce, disclose, or commercially exploit proprietary ModelCoach.ai software, prompts, scoring methodologies, algorithms, curricula, certifications, learning systems, datasets, or other protected components of the Services.

7. Intellectual Property

All software, source code, browser extension technology, designs, trademarks, logos, educational content, curricula, certifications, prompt libraries, scoring methodologies, documentation, and related intellectual property made available through ModelCoach.ai are owned by or licensed to Buddy Dealz LLC, except for user content and third-party materials.

No rights are granted except as expressly provided in these Terms.

8. User Content

You retain ownership of content you submit to the Services.

You grant Buddy Dealz LLC a limited, non-exclusive license to host, process, transmit, reproduce, and otherwise use your content as reasonably necessary to operate, secure, maintain, and improve the Services, subject to our Privacy Policy.

You are responsible for ensuring that you have the necessary rights to content you submit or process through the Services.

9. Artificial Intelligence Disclaimer

AI-generated or AI-assisted content, coaching, scores, recommendations, and other outputs may be inaccurate, incomplete, outdated, biased, or incorrect.

ModelCoach.ai is designed primarily for educational and productivity purposes. AI-generated information should not be treated as a substitute for professional legal, medical, financial, or other specialized advice.

You are responsible for evaluating outputs before relying on or acting upon them.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

We do not guarantee that the Services will always be available, uninterrupted, error-free, secure, or that AI-generated results will be accurate or suitable for any particular purpose.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Buddy Dealz LLC and its officers, members, employees, contractors, and affiliates shall not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, revenue, data, goodwill, or business opportunities arising from or related to the Services.

To the fullest extent permitted by law, aggregate liability arising out of or relating to the Services or these Terms shall not exceed the greater of US$100 or the amount you paid to Buddy Dealz LLC for the Services during the 12 months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

12. Suspension and Termination

We may suspend, restrict, or terminate access to some or all of the Services when reasonably necessary due to violations of these Terms, fraud, abuse, payment disputes, security concerns, legal requirements, or conduct that threatens the Services or other users.

If paid access ends because of cancellation, expiration, payment failure, invalid payment, suspension, or termination, you may lose access to Pro functionality and revert to functionality available under the applicable Free or other available plan. Ordinary subscription cancellation does not by itself delete your account or learning data.

Termination or suspension does not affect rights or obligations that accrued before termination.

13. Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.

To the extent permitted by applicable law, legal proceedings arising from these Terms or the Services shall be brought in the appropriate state or federal courts located in Maricopa County, Arizona.

14. Changes to These Terms

We may update these Terms periodically to reflect changes to the Services, business practices, legal requirements, or other operational considerations.

When we make material changes, we may provide notice through the Services or by other reasonable means. The “Last updated” date at the top of these Terms indicates when they were most recently revised.

Your continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by applicable law.

15. Third-Party Platforms and Trademarks

ModelCoach.ai is an independent software platform and is not affiliated with, sponsored by, or endorsed by OpenAI, Anthropic, Google LLC, Microsoft Corporation, or other third-party providers unless expressly stated.

Third-party names, trademarks, logos, products, and services belong to their respective owners.

Your use of third-party platforms remains subject to their respective terms, policies, and availability.

16. Feedback

If you provide ideas, suggestions, recommendations, bug reports, feature requests, or other feedback regarding ModelCoach.ai, you grant Buddy Dealz LLC the right to use that feedback for any lawful purpose without restriction or compensation to you.

17. Beta and Experimental Features

Certain features may be designated as beta, preview, experimental, early access, or similar.

These features may contain errors, may be incomplete, may change materially, or may be discontinued without notice. Beta and experimental features are provided without warranties to the maximum extent permitted by law.
